Terms and Conditions

These Terms and Conditions ("Terms") govern the purchase and use of digital compliance documentation kits sold through the website docply.io (the "Website") operated under the brand Docply ("Docply", "we", "us", "our").

By placing an order through the Website, you ("Customer", "you") agree to be bound by these Terms.

1. Seller identification

The Website and the Docply brand are operated by:

Docply is a commercial brand of the same VAT-registered individual professional. References to "Docply" in these Terms refer to Alessandro Stella operating under that brand.

2. Definitions

In these Terms:

  • "Kit" or "Product" means a digital compliance documentation product sold through the Website (e.g. NIS-2 Total Kit), consisting of editable Word and Excel files delivered as a downloadable archive.
  • "Total Kit" means the complete documentation framework for a given regulation (e.g. NIS-2 Total Kit, ISO 27001 Total Kit).
  • "Bundle" means a focused subset of a Total Kit covering a specific area.
  • "Mini-Kit" means a small group of documents covering a single topic.
  • "Customer" means the natural or legal person purchasing a Kit, identified at checkout.
  • "Entity" means the single legal person (organisation, company, public body) for which the Customer purchases the Kit and within which the Kit is to be used.
  • "License" means the End User License Agreement governing the use of the Kit, available at docply.io/legal/license.
  • "Payment Provider" means Lemon Squeezy (Lemon Squeezy LLC), acting as Merchant of Record for transactions on the Website.

3. Object of the contract

The contract concluded through the Website has as its object the purchase of digital compliance documentation Kits in editable electronic format (Microsoft Word and Excel files), delivered through download upon payment confirmation.

Each Kit consists of a defined set of documents, the exact composition of which is described on the Website at the time of purchase. The Kit is licensed for use, not sold; the Customer acquires a usage right governed by the License referenced in Section 9.

4. Prices and VAT

Prices displayed on the Website are expressed in Euros (EUR) and exclude EU VAT.

VAT is calculated and charged at the applicable rate based on the Customer's location and tax status (B2B or B2C), in accordance with EU VAT rules for digital services. VAT is collected and remitted by the Payment Provider acting as Merchant of Record.

Prices may be modified at any time without prior notice, but modifications do not affect orders already confirmed.

5. Order and payment

5.1 Order placement

The Customer places an order by selecting a Kit on the Website, completing the checkout process operated by the Payment Provider, and confirming the purchase. The contract is concluded when the Customer receives confirmation of payment from the Payment Provider.

5.2 Payment

Payment is processed by the Payment Provider, which acts as Merchant of Record. Docply does not collect, store, or process any payment data. Accepted payment methods, currencies, and transaction terms are those offered by the Payment Provider at the time of checkout.

5.3 Invoicing

Invoices are issued by the Payment Provider in its capacity as Merchant of Record. The Customer receives an electronic invoice from the Payment Provider directly to the email address provided at checkout.

6. Delivery

6.1 Method of delivery

Upon payment confirmation, the Customer receives by email a secure download link to the Kit, generated by the Payment Provider. The download is available for a reasonable period after the order, typically at least 30 days.

6.2 Time of delivery

Delivery is automatic and typically immediate (within minutes from payment confirmation). In rare cases of technical issues, delivery may be delayed by up to 24 hours.

6.3 Customer obligations

The Customer is responsible for downloading the Kit within the period during which the download link remains active. Should the link expire, the Customer may contact info@docply.io to request a renewed download link.

The Customer is responsible for storing a backup copy of the downloaded Kit for their own records.

7. Right of withdrawal — Important

7.1 Acknowledgement and waiver of withdrawal right

The Kit consists of digital content not supplied on a tangible medium, delivered through immediate download upon payment.

In accordance with Article 59, paragraph 1, letter o) of the Italian Consumer Code (Legislative Decree 206/2005, implementing Article 16(m) of EU Directive 2011/83/EU), the right of withdrawal does not apply to contracts for the supply of digital content not on a tangible medium if the performance has begun with the consumer's prior express consent and acknowledgement that the right of withdrawal is thereby lost.

By completing the purchase, the Customer:

  • expressly consents to the immediate provision of the Kit by download, before the expiry of the standard 14-day withdrawal period;
  • expressly acknowledges that, by such consent, the Customer loses the right of withdrawal under Articles 52 to 58 of the Italian Consumer Code.

These consents are obtained at checkout through dedicated checkboxes operated by the Payment Provider.

7.2 Goodwill refund policy

Notwithstanding Section 7.1, Docply offers, at its sole discretion and as a goodwill commercial gesture (and not as a legal obligation), the possibility for the Customer to request a refund within 14 days from the date of purchase.

A goodwill refund may be granted where:

  • the Customer requests the refund within 14 calendar days from the date of payment confirmation;
  • the request is sent to info@docply.io with the order reference;
  • there is no evidence of substantial use, distribution, or appropriation of the Kit content.

Docply reserves the right to decline goodwill refund requests in cases including, but not limited to:

  • evidence that the Kit content has been substantially used, modified, or implemented;
  • evidence that the Kit content has been redistributed, shared, or made available to third parties;
  • repeated refund requests from the same Customer or related parties;
  • any other indication of abuse of the goodwill refund policy.

The decision on each refund request is final and at Docply's sole discretion. Goodwill refunds are processed by the Payment Provider and may take up to 10 business days to be credited.

7.3 Customers acting as professionals (B2B)

Where the Customer is acting in a business or professional capacity (B2B purchase, identified by VAT number at checkout), the right of withdrawal under the Italian Consumer Code does not apply. The goodwill refund policy in Section 7.2 remains available at Docply's sole discretion.

8. Warranties and conformity

8.1 Conformity warranty

Docply warrants that the Kit is delivered in the form and with the documentation count described on the Website at the time of purchase. The Kit is provided in editable Microsoft Word (.docx) and Excel (.xlsx) format compatible with current versions of those applications.

8.2 Disclaimer regarding compliance outcomes

The Kit consists of documentation templates designed to support compliance with NIS-2, ISO standards, DORA, AI Act, and other regulatory frameworks as applicable. Docply does not guarantee, warrant, or represent that the Kit, alone, will result in:

  • regulatory compliance for the Customer's Entity;
  • successful audit outcomes;
  • absence of regulatory enforcement action;
  • adequacy for the specific organisational context of the Customer.

The Customer is solely responsible for:

  • adapting the Kit content to their specific organisational context;
  • implementing the policies, procedures, and plans described in the Kit;
  • assessing applicability of conditional documents to their entity type;
  • ensuring ongoing compliance with applicable regulations.

The Kit is documentation, not a compliance certification or a substitute for professional legal, regulatory, or audit advice.

8.3 Lifetime updates

Docply commits to providing free updates to the Kit when material regulatory developments require revision (e.g. new ENISA implementing acts, amendments to applicable directives, updates to CIR 2024/2690 or equivalent technical specifications). Updated versions are made available to existing Customers through the Payment Provider's customer portal or by email notification.

"Lifetime" is intended for the lifetime of the specific Kit product line. Should Docply discontinue a product line, Customers will be notified and given a reasonable transition period.

9. License grant

The purchase of the Kit grants the Customer a non-exclusive, non-transferable, non-sublicensable license to use the Kit content within their single Entity, subject to the terms of the End User License Agreement available at:

docply.io/legal/license

The License forms an integral part of these Terms. By purchasing the Kit, the Customer accepts the License terms.

Notable restrictions include (without limitation):

  • the Kit may not be resold, redistributed, or made publicly available;
  • the Kit may not be used by consultants or advisory firms to deliver services to their own clients without a separate Advisor License (which may be obtained by contacting info@docply.io);
  • the Kit is licensed for use within a single legal Entity, not group-wide or multi-entity use.

10. Intellectual property

All intellectual property rights in the Kit, including but not limited to copyright, database rights, and trademark rights in the "Docply" brand, remain the exclusive property of Alessandro Stella operating under the Docply brand.

The purchase of the Kit transfers no ownership of intellectual property; the Customer obtains only the limited usage license described in Section 9.

The Customer agrees not to remove, modify, or obscure any copyright notice, brand element, or proprietary marking present in the Kit documents.

11. Limitation of liability

To the maximum extent permitted by applicable law:

  • Docply's total liability arising from or in connection with the contract and the Kit is limited to the price paid by the Customer for the Kit;
  • Docply shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to: loss of profits, loss of revenue, loss of data, regulatory fines, business interruption, or reputational damage;
  • Nothing in these Terms limits or excludes Docply's liability for damages caused by gross negligence, wilful misconduct, or for any other liability that cannot be excluded under mandatory applicable law (including consumer protection laws);
  • Where the Customer is a consumer (B2C), the limitations in this Section 11 apply only to the extent permitted by mandatory consumer protection law.

12. Customer support

Customer support is provided by email at info@docply.io. Docply commits to a response within 2 working days (Monday–Friday, excluding Italian public holidays) in English or Italian.

Support is limited to:

  • technical issues with download or file integrity;
  • questions about the Kit composition and structure;
  • license clarifications.

Support does not extend to:

  • regulatory consulting or interpretation;
  • audit support;
  • customisation of the Kit content for the Customer's Entity;
  • legal advice.

13. Privacy and data protection

The processing of personal data in connection with the Website and orders is governed by the Privacy Policy available at:

docply.io/legal/privacy

The Privacy Policy describes the data processed, the legal bases, the recipients (including the Payment Provider, hosting provider, analytics provider, and email service provider), the retention periods, and the rights of data subjects under the GDPR and the Italian Data Protection Code.

14. Force majeure

Docply shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to: natural disasters, governmental actions, internet or hosting provider outages, cybersecurity incidents affecting third-party providers, or other force majeure events.

15. Modifications

Docply reserves the right to modify these Terms at any time. The version of the Terms applicable to a specific purchase is the version in force at the time the order is confirmed.

Material modifications will be communicated to existing Customers (insofar as their license remains active) by email or notification on the Website.

16. Governing law and jurisdiction

16.1 Governing law

These Terms are governed by Italian law, without prejudice to mandatory provisions of the law of the country of habitual residence of the Customer where the Customer is acting as a consumer.

16.2 Jurisdiction

For any dispute arising from or in connection with these Terms or the purchase, the Court of Milan (Tribunale di Milano), Italy, shall have exclusive jurisdiction.

Where the Customer is a consumer resident in an EU member state other than Italy, the Customer may also bring proceedings before the courts of their country of residence, in accordance with EU consumer protection rules.

16.3 ODR platform (consumers only)

Consumers resident in the EU may submit disputes to the European Commission's Online Dispute Resolution (ODR) platform, available at:
